Agreement to Terms
1. By engaging the services of Alvarez Web Design (“Company,” “we,” “us,” or “our”), you (“Client”) agree to be bound by these Terms & Conditions. These terms constitute a legally binding agreement between the Client and Alvarez Web Design, a business operating in the State of Arizona. If you do not agree to these terms, do not proceed with our services.
2. Scope of Services
Alvarez Web Design provides custom website design, development, SEO optimization, website maintenance, and related digital services as outlined in the project proposal or invoice provided to the Client. All websites are custom built from scratch — no templates are used. The specific scope of work will be agreed upon in writing prior to the commencement of any project.
Any requests for work outside the agreed scope will be treated as a separate project or change order and may incur additional fees at our standard rate of $65.00/hour.
3. Payment Terms
3.1 Deposit: A non-refundable deposit of 50% of the total project fee is required before any work begins. This deposit secures your project on our schedule and covers initial research, planning, and design work.
3.2 Final Payment: The remaining 50% balance is due upon project completion, prior to the website going live or final files being delivered to the Client.
3.3 Late Payments: Invoices not paid within 14 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. Alvarez Web Design reserves the right to suspend or withhold delivery of work until payment is received in full.
3.4 Accepted Payment Methods: Payment methods will be outlined in your invoice. All prices are in U.S. Dollars.
4. Refund Policy
4.1 Non-Refundable Deposit: The 50% deposit is strictly non-refundable under any and all circumstances. This applies regardless of the reason for cancellation, including but not limited to a change of mind, business closure, or failure to provide required content.
4.2 Work in Progress: If a project is cancelled after work has commenced, the Client is responsible for payment of all work completed up to the date of cancellation, calculated at our hourly rate of $65.00/hour, minus the deposit already paid.
4.3 Completed Work: No refunds will be issued for completed work or delivered projects.
5. Revisions & Change Requests
5.1 Included Revisions: Each project includes up to five (5) rounds of revisions. A “revision round” is defined as a single consolidated list of changes submitted at one time. Multiple separate revision requests will each count as individual rounds.
5.2 Additional Revisions: Any revision requests beyond the five (5) included rounds will be billed at a flat fee of $75.00 per additional revision round, invoiced prior to work commencing on those changes.
5.3 Scope Changes: Requests that alter the original agreed scope of work — including adding new pages, features, or functionality not included in the original proposal — are not considered revisions and will be quoted and billed separately.
6. Project Timeline & Client Responsibilities
Project timelines are estimates and are dependent on the timely provision of required materials by the Client, including but not limited to: written content, images, logos, login credentials, and feedback on design drafts.
Alvarez Web Design is not responsible for delays caused by the Client’s failure to provide required materials or timely feedback. Any such delays may result in revised project timelines and will not entitle the Client to a refund.
7. Project Abandonment
7.1 Definition: A project will be considered abandoned if the Client fails to respond to communications from Alvarez Web Design for a period of thirty (30) consecutive days.
7.2 Financial Terms: In the event of project abandonment, Alvarez Web Design reserves the right to close the project. The non-refundable 50% deposit will be retained in full. No additional charges will be billed beyond the deposit already paid.
7.3 Reactivation: Should the Client wish to reactivate an abandoned project, a new deposit and revised project proposal will be required. Alvarez Web Design cannot guarantee availability or that previous work will be retained.
8. Client-Provided Content
The Client is responsible for providing all written content, images, logos, and other materials required for the project. By providing such materials, the Client warrants that they have the legal right to use all submitted content and that its use will not infringe upon the intellectual property rights of any third party.
Alvarez Web Design will not be held liable for any legal claims arising from Client-provided content.
9. Intellectual Property & Ownership
9.1 Client Ownership: Upon receipt of final payment in full, the Client will own the completed website design and all custom content created specifically for their project.
9.2 Portfolio Rights: Alvarez Web Design retains the right to display completed work in our portfolio, on our website, and in marketing materials unless the Client requests otherwise in writing prior to project completion.
9.3 Third-Party Assets: Any third-party assets used in the project (fonts, stock images, plugins, etc.) remain subject to their respective licenses. The Client is responsible for maintaining any required licenses after project delivery.
10. SEO Services
While Alvarez Web Design implements SEO best practices on all websites, we do not guarantee specific search engine rankings, traffic levels, or business results. Search engine algorithms change frequently and are outside our control. SEO is a long-term strategy and results may take time to materialize.
11. Website Maintenance
Website maintenance services are provided on a month-to-month basis and may be cancelled by either party with 30 days written notice. Maintenance fees are billed monthly and are non-refundable once the billing period has commenced.
12. Limitation of Liability
Alvarez Web Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to loss of revenue, loss of data, or business interruption. Our total liability to the Client shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
13. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, client lists, pricing structures, and any information designated as confidential by either party.
14. Termination
Either party may terminate the working agreement with written notice. In the event of termination by the Client, the non-refundable deposit will be retained and any work completed beyond the deposit will be billed at $65.00/hour. In the event of termination by Alvarez Web Design, the Client will be refunded for any work not yet completed beyond the deposit.
15. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of the State of Arizona.
16. Changes to These Terms
Alvarez Web Design reserves the right to update or modify these Terms & Conditions at any time. Updated terms will be posted on our website at alvarezwebdesign.com. Continued engagement of our services after any changes constitutes acceptance of the new terms.
